1. Introduction
These Terms of Service (“Terms”) govern your use of the Regal Innovates website and, where applicable, the general provision of services by Regal Innovates (“Regal Innovates”, “we”, “us”, or “our”).
Regal Innovates provides technical, creative, website, eCommerce, digital support, marketing, and related professional services.
Specific client engagements may also be governed by a proposal, quotation, statement of work, invoice, contract, or other written agreement. Where an agreed client-specific document conflicts with these general Terms regarding the services being purchased, the client-specific agreement will govern to the extent of that conflict.
2. Our Services
Regal Innovates may provide services including, but not limited to:
- Website design and development
- WordPress development and support
- eCommerce development and support
- Shopify development and support
- Website redesigns
- Website maintenance and technical support
- Landing pages
- Content and creative support
- Social media support and management
- Search engine optimization
- Technical SEO
- Conversion optimization
- Advertising and marketing support
- Analytics and tracking implementation
- Website migrations
- Performance improvements
- Other related digital services
Services may be provided as one-time projects, hourly or scoped work, or ongoing monthly engagements.
The exact deliverables, timelines, limitations, pricing, and responsibilities for a client engagement will be determined by the applicable proposal, quotation, invoice, or agreement.
3. Enquiries and Proposals
Submitting a contact form, requesting a consultation, communicating with us, or receiving preliminary information does not create a client relationship.
A project or ongoing engagement begins only after the parties agree to the applicable scope and commercial terms and any required payment or deposit has been received.
Quotes and proposals may have an expiration period specified within them.
4. Pricing
Prices displayed on our website, including statements such as “from $495/month,” represent starting prices and do not guarantee that a particular project or engagement will qualify for that price.
Actual pricing depends on factors including scope, complexity, required capacity, platforms, deliverables, timelines, and ongoing responsibilities.
Additional work outside an agreed scope may require additional fees or a separate quotation.
5. Ongoing Support Plans
Ongoing plans provide access to services within the scope and capacity specified for the selected engagement.
A monthly plan does not mean that every service offered by Regal Innovates is included without limitation.
For example, advanced development, complete website builds, major redesigns, extensive SEO campaigns, advertising spend, premium software, professional photography or video production, third-party fees, and other substantial work may require separate pricing unless explicitly included in the client’s agreement.
Specific monthly capacity, included services, response expectations, and other limitations will be defined in the applicable plan, proposal, or agreement.
6. Client Responsibilities
Clients are responsible for providing information, materials, feedback, approvals, credentials, and access reasonably required to complete the work.
Clients must ensure that they have the necessary rights and permissions for any content, trademarks, images, videos, data, software, credentials, or other materials supplied to Regal Innovates.
Delays in providing required information, feedback, access, or approvals may affect delivery timelines.
7. Payments
Payment terms will be stated in the applicable invoice, proposal, or agreement.
Depending on the engagement, we may require:
- Full payment in advance
- A deposit before work begins
- Milestone payments
- Monthly recurring payments
- Payment following an agreed billing schedule
Third-party transaction, currency-conversion, banking, platform, or payment-processing fees may apply depending on the payment method.
Failure to make payments when due may result in work being paused or services being suspended.
8. Third-Party Costs
Unless expressly included in writing, clients are responsible for third-party expenses such as:
- Domain registrations
- Website hosting
- Premium themes or plugins
- Shopify applications
- Software subscriptions
- Advertising spend
- Stock assets
- Email or marketing platforms
- External APIs
- Other third-party services
We will not intentionally incur material third-party expenses on a client’s behalf without authorization.
9. Revisions and Scope Changes
Reasonable revisions may be included where specified in the applicable scope.
Requests that materially change the agreed requirements, deliverables, functionality, design direction, workload, or timeline may be treated as additional work and quoted separately.
10. Timelines
Any delivery date or timeline provided is an estimate unless explicitly agreed otherwise in writing.
Timelines may be affected by client feedback, approvals, access, third-party services, technical complications, scope changes, or circumstances outside our reasonable control.
11. Intellectual Property
Unless otherwise agreed in writing, clients retain ownership of materials they provide to Regal Innovates.
Upon receipt of all amounts due for completed work, rights to final custom deliverables created specifically for the client will transfer as specified in the applicable agreement.
Regal Innovates retains ownership of its pre-existing materials, internal processes, reusable components, frameworks, techniques, know-how, utilities, and other intellectual property not created exclusively for a particular client.
Third-party software, fonts, themes, plugins, stock assets, libraries, and other licensed materials remain subject to their respective licenses.
12. Portfolio Use
Unless otherwise agreed in writing or subject to confidentiality restrictions, Regal Innovates may reference completed public-facing work in its portfolio, website, social media, proposals, or marketing materials.
We will not intentionally disclose confidential client information as part of portfolio use.
Clients may request confidentiality or restrictions on portfolio use as part of their agreement.
13. Third-Party Platforms
Our services may involve third-party platforms such as WordPress, Shopify, hosting providers, social networks, advertising platforms, analytics services, payment providers, APIs, and plugins.
We do not control these platforms and cannot guarantee their continuous availability, functionality, pricing, policies, integrations, or future changes.
Regal Innovates is not responsible for outages, policy changes, account restrictions, platform changes, or other failures caused by third-party providers outside our reasonable control.
14. SEO, Advertising and Performance Results
Digital performance depends on many factors outside our control.
Unless expressly guaranteed in a written agreement, Regal Innovates does not guarantee:
- Specific Google rankings
- Search traffic levels
- AI search or citation placement
- Advertising performance
- Leads or sales
- Conversion rates
- Social media reach or follower growth
- Revenue increases
- Specific business outcomes
We provide professional services intended to improve digital performance, but past performance or projections do not guarantee future results.
15. Website and Software Compatibility
We aim to produce work compatible with the platforms, browsers, devices, and environments defined in the applicable scope.
We cannot guarantee indefinite compatibility with future browser updates, platform changes, operating-system changes, third-party software updates, discontinued APIs, or technologies introduced after delivery.
Ongoing maintenance may be required to address future compatibility changes.
16. Backups and Client Data
Where appropriate, we may take reasonable precautions such as backups before significant technical work.
However, unless backup management is specifically included in an ongoing agreement, clients remain responsible for maintaining appropriate backups of their websites, stores, data, and business systems.
17. Confidentiality
We aim to treat non-public client information shared for the purpose of an engagement as confidential and use it only as reasonably necessary to provide services.
More detailed confidentiality obligations may be established through a separate agreement or NDA where required.
18. Limitation of Liability
To the maximum extent permitted by applicable law, Regal Innovates will not be liable for indirect, incidental, special, consequential, or punitive losses, including loss of profits, revenue, business opportunities, data, or goodwill arising from use of the website or services.
Where liability cannot legally be excluded, our total liability relating to a particular paid engagement will generally be limited to the amount paid to Regal Innovates for the services giving rise to the claim, except where applicable law requires otherwise.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
19. Termination and Cancellation
Either party may terminate an ongoing engagement according to the cancellation terms established in the applicable proposal, agreement, or plan.
Amounts already earned for completed work and authorized expenses remain payable.
For one-time projects, deposits, cancellation charges, and refunds will be governed by the applicable proposal or agreement.
20. Acceptable Use
You may not use our website or services to:
- Violate applicable laws
- Infringe intellectual-property rights
- Distribute malware or malicious code
- Attempt unauthorized access to systems
- Submit fraudulent or misleading information
- Interfere with the security or operation of our website or services
We may refuse or discontinue work that we reasonably believe involves unlawful, fraudulent, abusive, or harmful activity.
21. Website Information
Information on the Regal Innovates website is provided for general informational and marketing purposes.
While we aim to keep information accurate and current, website content may change and should not be treated as a binding quotation, guarantee, or professional legal, financial, or other regulated advice.
22. Changes to These Terms
We may update these Terms periodically.
Updated Terms will be published on this page with a revised “Last updated” date. Changes will not retroactively override separately agreed contractual terms for existing work unless permitted by the applicable agreement.
